Yelp Booking Services Consumer Terms and Conditions

IMPORTANT NOTICE TO CONSUMER: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND IN THEIR ENTIRETY BEFORE SUBMITTING A SERVICE REQUEST. THESE TERMS AND CONDITIONS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 12), A LIMITATION OF LIABILITY (SECTION 10), AND A DISCLAIMER OF WARRANTIES (SECTION 10) THAT MATERIALLY AFFECT YOUR LEGAL RIGHTS AND REMEDIES. 

The Yelp Booking Services program, offered by Yelp Inc. (“Yelp”), allows consumers to request and receive home services through which Yelp matches consumers with independent, third-party home services providers (“Pros”), and to collect consumer payment, and remit payment to Pros upon service completion, subject to these Yelp Booking Services Consumer Terms and Conditions (the “Agreement”).

By submitting a service request through the Yelp Booking Services program (“Booking Services” or the “Program”), you (“you,” “your,” or “Consumer”) expressly acknowledge and agree to be bound by this Agreement and any amendments hereto as Yelp may publish from time to time. 

This Agreement supplements Yelp’s Terms of Service and Yelp Guaranteed Consumer Terms, which are incorporated herein by reference. In the event of a conflict, the order of precedence shall be as follows: the Agreement, Yelp Guaranteed Consumer Terms and Yelp’s Terms of Service.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE USE OF BOOKING SERVICES AND MUST NOT SUBMIT A SERVICE REQUEST.

SECTION 1. DEFINITIONS 

As used in this Agreement, the following defined terms shall have the meanings set forth below: 

1.1 “Referral Fee” means the amount retained by Yelp from the total Service Fee paid by the Consumer representing Yelp’s fee for facilitating the match between the Consumer and the assigned Pro, providing platform and payment infrastructure, and administering the Yelp Booking Services program. The Referral Fee is a variable amount determined by Yelp based on service type, market, and job configuration.

1.1 “Service” or “Covered Service” means the home service or services — limited during this pilot program to mowing, trimming, edging, cleanup, and weeding — that a Consumer orders through the Program at the price displayed at the time of booking. 

1.2 “Service Fee” means the total price displayed to the Consumer at the time of booking, inclusive of all applicable configurations selected by the Consumer at the time of booking, including but not limited to lot size and any elected add-on options. 

1.3“Stripe” means Stripe, Inc., Yelp’s third-party payment processing provider. 

1.4 “Yelp Guaranteed Program” means Yelp’s consumer protection program, as further described in Section 5 of this Agreement and governed by the Yelp Guaranteed Consumer Terms. 

SECTION 2. NATURE OF THE PROGRAM; YELP’S ROLE; PILOT SCOPE 

2.1 Program Only; Yelp Is Not a Provider. Yelp operates a platform that connects Consumers with independently operating Pros and is not itself a provider of any home services. Yelp does not perform, supervise, direct, or control the manner in which any Pro performs services. Each Pro engaged through the Program is an independent contractor of Yelp. Nothing in this Agreement or arising from your use of Booking Services creates or shall be construed to create any employment, agency, partnership, joint venture, or franchise relationship between Yelp and any Pro. 

2.2 Pilot Scope; Geographic Limitations. The Yelp Booking Services pilot program is available exclusively in the greater Atlanta, Georgia and Phoenix, Arizona metropolitan areas. Yelp reserves the right to modify, expand, reduce, suspend, or discontinue the program at any time, without prior notice or liability to you. 

2.3 Eligibility. To access and use Yelp Booking Services, you represent and warrant that you: (a) are at least eighteen (18) years of age; (b) maintain an active Yelp Consumer Account; (c) have the legal authority to authorize the requested services at the service address provided; and (d) are located within the current pilot service area at the time of booking. Your submission of a service request constitutes your representation that you satisfy all eligibility requirements at that time. 

SECTION 3. SERVICE REQUESTS AND PRO MATCHING 

3.1 Submission of Service Requests. By submitting a service request through the Program, you represent and warrant that: (a) all information provided, including your service address, contact information, and project details, is accurate, complete, and current; (b) you are legally authorized to have the requested services performed at the address provided; and (c) your use of Yelp Booking Services is solely for personal, non-commercial purposes. 

3.2 Pro Matching Process; Address and Contact Information Sharing. Upon receipt of a service request, Yelp will use your zip code and general neighborhood or city to identify eligible Pros in your area. Your full address and contact information will not be disclosed to any Pro prior to Pro assignment. Following assignment of a Pro to your service request, Yelp will share your full service address and contact information with that assigned Pro solely for the purpose of performing the Covered Service. 

3.3 No Guarantee of Match. Yelp does not represent or warrant that a Pro will be available for or matched to any particular service request. In the event Yelp is unable to match you with a Pro, your payment method will not be charged, as set forth in Section 4. 

3.4 Single Pro Assignment. Yelp will assign a single Pro to each accepted service request. Yelp reserves the right, in its sole and absolute discretion, to substitute an alternative Pro prior to commencement of service. 

3.5 Rate Negotiation. Each Pro participating in Yelp Booking Services is an independently established service professional who retains the right, at their sole discretion, to accept, decline, or propose modified terms with respect to any job assignment. Yelp’s customer support and operations personnel facilitate this process on your behalf. The Pro may propose an alternative payout amount to Yelp’s operations personnel prior to accepting the assignment. For the avoidance of doubt, any such rate negotiation affects only the Pro’s payout amount and does not affect the Referral Fee retained by Yelp. If a Pro’s counter-proposal results in an adjustment to the total Service Fee displayed to you at the time of booking, Yelp will communicate any such adjustment to you prior to confirming the assignment, and you are under no obligation to accept a modified Service Fee

SECTION 4. PAYMENT; PRICING; AUTHORIZATION; CANCELLATION 

4.1 Payment Authorization. By submitting a service request through the Program, you expressly authorize Yelp, or its designated third-party payment processor to: (a) validate and store your payment method at the time of booking; and (b) charge your stored payment method the full Service Fee upon confirmation that the assigned Pro has completed the Covered Service. You acknowledge and agree that: (i) a hold or pre-authorization may be placed on your payment method at the time of booking; and (ii) your payment method will not be charged if no Pro is matched to your service request. All payment information you provide must be accurate, complete, and current. By accepting this Agreement, you are giving Yelp (or a third-party payment processor on the Company’s behalf) permission to charge any on-file credit card, debit card, or other previously approved methods of payment for fees that you owe the Pro. 

4.2 Payment Processing; Third-Party Terms. All Consumer payments are processed through a third-party payment processor (the “Payment Processor”). By submitting a service request and providing payment information, you agree to be bound by the Payment Processor’s Terms of Service, as may be modified from time to time, to the extent applicable to your transaction. Yelp expressly disclaims all liability for any loss or damage resulting from the release of your payment information to Payment Processor or any other authorized third-party payment processor. You agree to hold Yelp harmless from any damages that may result therefrom. 

4.3 Referral Fee; Fee Structure; Disclosure. You acknowledge and agree that the total Service Fee charged to you by Yelp includes two distinct components: (a) the payment to the Pro, which is the amount remitted by Yelp directly to the assigned Pro following completion of the Covered Service; and (b) the Referral Fee, which is a variable amount retained by Yelp in its entirety as compensation for providing the Platform, facilitating the match between you and the assigned Pro, administering payment processing, and operating the Yelp Booking Services program. 

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (i) THE REFERRAL FEE IS INCLUDED WITHIN, AND NOT IN ADDITION TO, THE TOTAL SERVICE FEE DISPLAYED TO YOU AT THE TIME OF BOOKING; (ii) THE REFERRAL FEE IS RETAINED BY YELP IN ITS ENTIRETY AND IS NOT PASSED THROUGH TO THE ASSIGNED PRO; (iii) THE SPECIFIC AMOUNT OR PERCENTAGE OF THE REFERRAL FEE IS NOT SEPARATELY DISCLOSED TO YOU AT THE TIME OF BOOKING, AS THE SERVICE FEE IS PRESENTED AS AN ALL-INCLUSIVE TOTAL PRICE FOR THE COVERED SERVICE; AND (iv) BY SUBMITTING A SERVICE REQUEST, YOU CONSENT TO YELP’S RETENTION OF THE REFERRAL FEE AS DESCRIBED IN THIS SECTION. 

Outside of the Fee Structure as described here, no additional fees, surcharges, or assessments will be imposed by Yelp in connection with the Covered Service, except as may be required by applicable law, including without limitation applicable transaction taxes, or as set forth in Section 4.6 with respect to cancellation fees. The Referral Fee structure may vary across service types, geographic markets, and individual job configurations, and is subject to modification at Yelp’s sole discretion without prior notice to you, provided that any such modification will not apply to service requests that have already been submitted and confirmed.

4.4 Out-of-Scope Work; No Additional Program Charges. The Service Fee covers only the specific Covered Service and configurations you selected at the time of booking. Any work performed by a Pro beyond the original agreed scope of service is not covered by your booking and must be separately arranged and compensated directly between you and the Pro, outside of the Yelp Program. Yelp is not responsible for facilitating, collecting, or guaranteeing payment for any out-of-scope work. Yelp Guaranteed coverage, as described in Section 5 of this Agreement, does not extend to any work outside the original Covered Service scope. 

4.5 No Recurring Billing. Yelp Booking Services does not facilitate recurring or subscription-based payments. Each service request constitutes a single, independent transaction. Any arrangement for recurring or ongoing lawn care services and any corresponding payment obligation is solely between you and the Pro and is entirely outside the scope of this Agreement and the Yelp Program. Yelp bears no responsibility, and shall have no liability, with respect to any such arrangements. 

4.6 Cancellation Policy. You may cancel a scheduled Service appointment at any point with no charge up to 24 hours before the scheduled Service. After such a period, you may be charged additional fees, including an amount up to the Service Fee. Cancellation requests must be submitted through the Yelp Help Center or through your Yelp account on the Yelp app or website. In the event a Pro cancels a scheduled Service appointment, Yelp will notify you and will endeavor to identify an alternative Pro. Yelp makes no guarantee that a replacement Pro will be available. If a Pro-canceled appointment cannot be rescheduled, you will not be charged. 

4.7 Refunds. Except as expressly provided in the Yelp Guaranteed Consumer Terms or as otherwise required by applicable law, no refunds or credits will be provided once your payment method has been charged. At Yelp’s sole and absolute discretion, refunds or credits may be granted on a case-by-case basis. You will be liable for all transaction taxes on the Services provided. If Yelp determines that your account has been used to engage in deceptive, fraudulent, or illegal activity, or to repeatedly violate this Agreement, then Yelp may, in its sole discretion permanently withhold any applicable payments to you.

SECTION 5. YELP GUARANTEED COVERAGE 

5.1 Coverage. All Covered Services booked through Yelp Booking Services during the pilot program are covered by the Yelp Guaranteed Program, subject to the Yelp Guaranteed Consumer Terms, which are incorporated herein by this reference. 

5.2 Yelp Guaranteed Is Not Insurance; Not a Warranty. The Yelp Guaranteed Program is not a warranty, guarantee of workmanship, or insurance product of any kind. All coverage determinations are made at Yelp’s absolute and sole discretion. Neither your enrollment in Yelp Booking Services nor the existence of the Yelp Guaranteed Program constitutes an endorsement by Yelp of any Pro or a representation that any Pro’s services will meet your expectations. 

SECTION 6. PRO SCREENING; LIMITATIONS AND DISCLAIMERS 

6.1 Insurance Verification. Yelp verifies that all Pros participating in the Yelp Booking Services pilot program maintain commercial general liability insurance coverage prior to their participation in the program. All such verification is conducted at the time of Pro onboarding only. Yelp is under no continuing obligation to monitor, update, or re-verify a Pro’s insurance status or other credentials following initial enrollment. 

6.2 General Screening Disclaimer. You acknowledge and agree that: (a) Yelp makes no representation or warranty with respect to the accuracy, reliability, or completeness of any information obtained through its screening or verification processes; (b) Yelp relies upon representations made by Pros with respect to certain credentials and information; (c) Yelp has no obligation to disclose the results of any screening or verification process to you; and (d) Yelp’s screening obligations are limited to the time of initial Pro onboarding, and Yelp has no obligation to update a Pro’s screening information during the term of the program. 

SECTION 7. INFORMATION; CONSENT TO BE CONTACTED; CALL DATA 

7.1 Data Sharing. By submitting a service request, you authorize Yelp to: (a) share your project details and general location — limited to city and zip code — with eligible Pros for the sole purpose of facilitating job matching; and (b) share your full service address, contact information, and Yelp profile exclusively with the single Pro assigned to your job. Your contact information and full address will not be shared with any Pro who is not assigned to your specific job. 

7.2. Your Information. Yelp may access and use your Yelp user account information in accordance with our Privacy Policy, including information that you have provided to a Yelp Pro through the Site in connection with the Yelp Guaranteed program.

7.3 Call Recording. You acknowledge and agree that Yelp, and its third party service providers, may monitor and/or record any telephone calls between you and Yelp.

7.4 Accuracy of Information; Consequences of False Information. You represent, warrant, and covenant that all information you provide in connection with a service request — including your name, service address, contact information, and project details (“Service Information”) — is and will remain accurate, complete, and current. Knowingly providing false, inaccurate, or fraudulent information may result in: (a) suspension or termination of your Yelp account; (b) forfeiture of Yelp Guaranteed coverage for the affected service; and (c) liability for resulting damages to Yelp and any affected Pros. TO KNOWINGLY INPUT FALSE INFORMATION, INCLUDING ANY SERVICE INFORMATION, COULD RESULT IN SIGNIFICANT COSTS AND DAMAGES (INCLUDING REGULATORY FINES AND PENALTIES) TO YELP, ITS SERVICE PROVIDERS, THE PROS, AND OTHER CONSUMERS, AS WELL AS THE LOSS OF TIME, EFFORT AND EXPENSE RESPONDING TO AND PURSUING SUCH FALSE INFORMATION. IF YOU KNOWINGLY INPUT FALSE INFORMATION YOU AGREE TO FULLY INDEMNIFY AND BE LIABLE TO YELP AND EACH PRO WHO ACCEPTS SUCH SERVICE REQUESTS, FOR THE GREATER OF: (1) A MINIMUM AMOUNT OF $10,000 TO EACH OF YELP AND EACH OF THE AFFECTED PROS AND FOR EACH OF THE ACTUAL PERSON(S) AFFECTED BY ANY OF THE IMPROPER, INCORRECT OR FRAUDULENT INFORMATION YOU ENTER, PLUS ANY ATTORNEYS FEES COSTS AND EXPENSE RELATING THERETO, IF APPLICABLE, OR (2) THE ACTUAL DAMAGES AND ANY REGULATORY OR JUDICIAL FINES OR PENALTIES THAT MAY ARISE FROM SUCH INTENTIONAL, MISLEADING, HARMFUL AND FRAUDULENT ACTIVITY, PLUS REASONABLE LEGAL FEES, COST AND EXPENSES RELATING THERETO, WHICHEVER IS GREATER.

SECTION 8. CONSUMER RESPONSIBILITIES; ACCEPTABLE USE; PROHIBITED CONDUCT 

8.1 Consumer Responsibilities. You agree to: (a) provide a safe, accessible, and lawful work environment for the assigned Pro in compliance with all applicable laws and regulations; (b) be present at the service address or make suitable access arrangements prior to the scheduled service time; (c) communicate any special access requirements or site conditions to your assigned Pro in advance of the scheduled appointment; (d) treat Pros courteously and in accordance with applicable law; and (e) use Yelp Booking Services solely for personal, non-commercial purposes. 

8.2 Prohibited Conduct. You shall not use Yelp Booking Services for any unlawful purpose or in any manner that violates this Agreement, Yelp’s general Terms of Service, or any applicable local, state, or federal law or regulation. Without limiting the foregoing, you shall not solicit Pros for employment, ongoing private service contracts, or any arrangement designed to circumvent Yelp’s Program outside of your original Booking Services booking. 

SECTION 9. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 

9.1 Disclaimer of Warranties. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YELP BOOKING SERVICES, INCLUDING ALL PLATFORM FEATURES, MATCHING SERVICES, AND COVERED SERVICES FACILITATED THEREBY, ARE PROVIDED ON AN “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” BASIS. YELP EXPRESSLY DISCLAIMS, AND YOU HEREBY WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

(A) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, WORKMANLIKE EFFORT, AND NON-INFRINGEMENT;

(B) ANY WARRANTY THAT A PRO WILL BE AVAILABLE FOR, MATCHED TO, OR WILL COMPLETE ANY PARTICULAR SERVICE REQUEST;

(C) ANY WARRANTY THAT ANY PRO IS LICENSED, BONDED, CERTIFIED, INSURED BEYOND WHAT IS EXPRESSLY VERIFIED BY YELP PURSUANT TO SECTION 6 OF THIS AGREEMENT, OR OTHERWISE QUALIFIED BEYOND THE REPRESENTATIONS SET FORTH IN SECTION 6;

(D) ANY WARRANTY AS TO THE RESULTS, QUALITY, ACCURACY, RELIABILITY, SAFETY, COMPLETENESS, OR SUITABILITY OF ANY COVERED SERVICE OR ANY WORK PERFORMED BY A PRO;

(E) ANY WARRANTY THAT ANY ERRORS IN ANY SERVICE OR PLATFORM FEATURE WILL BE CORRECTED; AND

(F) ANY WARRANTY WITH RESPECT TO THE CONDUCT, ACTS, OR OMISSIONS OF ANY PRO, WHETHER ON OR OFF THE PLATFORM, BEFORE, DURING, OR AFTER PERFORMANCE OF ANY COVERED SERVICE.

YOU ACKNOWLEDGE AND AGREE THAT YELP DOES NOT SUPERVISE, DIRECT, CONTROL, OR MONITOR ANY PRO IN THE PERFORMANCE OF ANY SERVICE AND EXPRESSLY DISCLAIM ANY RESPONSIBILITY OR LIABILITY FOR THE QUALITY, SAFETY, OR LEGALITY OF ANY SERVICE PERFORMED. YOUR USE OF YELP BOOKING SERVICES AND YOUR ENGAGEMENT WITH ANY PRO IS ENTIRELY AT YOUR OWN RISK, EXCEPT AS EXPRESSLY AND SOLELY PROVIDED UNDER THE YELP GUARANTEED PROGRAM IN ACCORDANCE WITH THE YELP GUARANTEED CONSUMER TERMS. IN SOME JURISDICTIONS, DISCLAIMERS OF IMPLIED WARRANTIES ARE NOT PERMITTED. IN SUCH JURISDICTIONS, SOME OF THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU AS THEY RELATE TO IMPLIED WARRANTIES. THE DISCLAIMERS IN THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW IN THE STATE WHERE SERVICES ARE PERFORMED 

9.2 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YELP’S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY AND ALL LOSSES, DAMAGES, EXPENSES, SUITS, CLAIMS, OR CONTROVERSIES OF ANY KIND ARISING OUT OF OR RELATED TO YELP BOOKING SERVICES OR THIS AGREEMENT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, SHALL BE LIMITED TO THE TOTAL SERVICE FEE ACTUALLY PAID BY YOU TO YELP FOR THE SPECIFIC COVERED SERVICE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL YELP BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF YELP HAS BEEN ADVISED OF, OR KNEW OR SHOULD HAVE KNOWN OF, THE POSSIBILITY OF SUCH DAMAGES. 

9.3 Yelp Guaranteed; Limitation of Liability Interaction. Nothing in Section 9.2 is intended to, or shall, limit your rights under the Yelp Guaranteed Program as set forth in the Yelp Guaranteed Consumer Terms, which are subject to all limitations, exclusions, and conditions set forth therein. 

9.4 Essential Basis of Bargain. YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION 9 REFLECT A REASONABLE AND NEGOTIATED ALLOCATION OF RISK BETWEEN THE PARTIES, THAT YELP WOULD NOT HAVE MADE YELP BOOKING SERVICES AVAILABLE TO YOU ABSENT SUCH LIMITATIONS, AND THAT SUCH LIMITATIONS CONSTITUTE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND YELP. 

SECTION 10. INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless Yelp and its affiliates, parents, subsidiaries, officers, directors, employees, agents, successors, and assigns (collectively, “Yelp Entities”) from and against any and all third-party claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of or inability to use Yelp Booking Services; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; (d) any service performed at the service address you provided; (e) your provision of false, inaccurate, or fraudulent information to Yelp or any Pro; or (f) any harm caused to any Pro or third party arising from or in connection with your receipt of Covered Services. Yelp reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification obligation hereunder. You agree to cooperate fully with Yelp in connection with any such defense and shall not settle any such claim without Yelp’s prior written consent. 

SECTION 11. DISPUTE RESOLUTION; BINDING ARBITRATION; GOVERNING LAW 

11.1 Incorporation of Yelp Arbitration Agreement. All disputes arising out of or relating to this Agreement, Yelp Booking Services, or your use thereof are subject to the dispute resolution, binding arbitration, class action waiver, and jury trial waiver provisions set forth in Yelp’s Terms of Service, which are fully incorporated herein by this reference. You and Yelp agree that any such dispute shall be resolved through binding individual arbitration only, and neither party may participate in any class, collective, or representative proceeding. 

11.2 Governing Law. This Agreement is to be governed by and interpreted under California law, without regard to its conflict of law principles. Both you and Yelp agree that all disputes that are not subject to mandatory arbitration as described in this Agreement shall be resolved exclusively in state and federal courts located within San Francisco County, California and you consent to the personal jurisdiction of, and venue in, these courts for the purpose of litigating any such disputes. 

11.3 Time Limitation on Claims. Any claim or cause of action arising out of or relating to Yelp Booking Services or this Agreement must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, to the fullest extent permitted by applicable law. 

SECTION 12. TERM; MODIFICATION; TERMINATION; DISCONTINUANCE 

12.1 Term. This Agreement shall remain in full force and effect from the date you first submit a service request through Yelp Booking Services until terminated as set forth herein. 

12.2 Modification. Yelp reserves the right to modify, amend, or update this Agreement at any time. Material modifications will be communicated to you via email or through notice on the Yelp Program prior to the effective date of such modifications. Your continued use of Yelp Booking Services following the effective date of any modification constitutes your acceptance of the revised terms. If you do not agree to any modification, you must discontinue use of Yelp Booking Services. 

12.3 Discontinuance of Program. Yelp reserves the right to limit, suspend, modify, or discontinue Yelp Booking Services, in whole or in part, at any time and for any or no reason, without notice or liability to you. 

12.4 Termination. Yelp may suspend or terminate your access to Yelp Booking Services at any time, for any or no reason, upon notice to you. Except in the event of termination due to your breach of this Agreement or Prohibited Conduct as defined in Yelp’s Terms of Service, Yelp will refund any prepaid amounts for Covered Services not yet performed. 

SECTION 13. ENTIRE AGREEMENT; MISCELLANEOUS 

13.1 Entire Agreement. This Agreement, together with Yelp’s general Terms of Service, the Yelp Privacy Policy, and the Yelp Guaranteed Consumer Terms, constitutes the entire agreement between you and Yelp with respect to Yelp Booking Services and supersedes all prior or contemporaneous oral or written negotiations, representations, or agreements on the same subject matter. In the event of a conflict, this Agreement controls with respect to Yelp Booking Services. 

13.2 Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible, and the remaining provisions of this Agreement shall continue in full force and effect. 

13.3 No Waiver. Yelp’s failure to enforce any right or provision of this Agreement at any time shall not constitute a waiver of such right or provision with respect to any future breach or default. 

13.4 No Third-Party Beneficiaries. Except as expressly stated herein, nothing in this Agreement is intended to, nor shall, confer any rights or remedies upon any third party. 

13.5 Assignment. This Agreement may not be assigned by you without Yelp’s prior written consent. Yelp may freely assign its rights and obligations under this Agreement without restriction. 

13.6 No Relationship. Nothing in this Agreement creates any employment, agency, partnership, joint venture, or franchise relationship between you and Yelp, or between you and any Pro. 

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS IN THEIR ENTIRETY, YOU MUST NOT USE YELP BOOKING SERVICES OR SUBMIT A SERVICE REQUEST. BY SUBMITTING A SERVICE REQUEST, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
